REPRESENTATIVE WORK

• Counsel to PT Alam Tri Resources Indonesia Tbk (previously PT Adaro Energy Indonesia Tbk) in the structuring of the spin-off of one of its subsidiaries, PT Adaro Andalan Indonesia Tbk (previously PT Alam Tri Abadi) through its ~US$3 billion public offering by shareholders in 2024.
• Counsel to one of Indonesia’s leading telecommunication companies in various loan facility, financing and refinancing transactions for its satellite development projects.
• Counsel to PT Dumai Tirta Persada, a water treatment plant joint venture of PT Adhi Karya (Persero) Tbk. and Adaro Water, in its IDR 325 billion syndicated project financing of a water treatment plant with maximum capacity of 450 litre/second in Kota Dumai. The lenders in this project financing are PT Indonesia Infrastructure Finance and PT Sarana Multi Infrastruktur (Persero).
• Counsel to PT Adaro Tirta Brayan in its IDR 150 billion project financing for the development of water treatment plant with the capacity of 500 litre/second in Kota Medan.
• Counsel to the purchaser in an acquisition of coal mining companies, including legal due diligence of mining subsidiaries (IUP holders) located in East Kalimantan which would supply coal for a mine-mouth power project.
• Counsel to the purchaser of a proposed acquisition of an integrated mining business in East Kalimantan involving legal due diligence on a coal train operator.
• Counsel to PT Adaro Indonesia and PT Indonesia Bulk Terminal, in the renewal of, respectively, Fuel Supply Agreement and Fuel Facility Agreement with PT Pertamina Patra Niaga.
• Counsel to PT Kideco Jaya Agung re various advisory matters including coal sales agreements.
