Throughout these deals, we have represented a broad range of clients from private equity sponsors to investment banks and publicly traded companies to closely held organizations. We have represented bidders, buyers, selling shareholders, target companies, sponsors and financial advisors in their varying roles.

REPRESENTATIVE TRANSACTIONS

  • Represented Agung Podomoro Group in various large scale land acquisitions.
  • Represented Sinar Mas Group in various large scale acquisitions in various industries.
  • Represented Wira Sakti Group in a large scale real property development.
  • Counsel to PT Alam Tri Abadi in the USD1.1B acquisition of 100% interest in Agalia Energy Investments and Ariane Investments Mezzanine and to the controlling shareholders in the USD1.3 billion IPO by PT Adaro Energy Tbk. The acquisition and the IPO provided the foreign investors in PT Adaro Indonesia with a platform to switch their interests in PT Adaro Indonesia into interests in PT Adaro Energy Tbk. The IPO was recognized as one of the Deals of the Year in Asia by Asian Counsel in 2008. White & Case represented Agalia Capital. Milbank represented Ariane Investments.
  • Together with Milbank, Hendra Soenardi represented PT Alam Tri Abadi in the acquisition of an integrated coal mining business in Kalimantan from BHP Billiton. The minority interest was acquired in 2010 for USD350m and the majority interest was acquired in 2016 for USD120 million.
  • Counsel to Saratoga Equity and other shareholders in the sale of their controlling interest in PT Adaro Indonesia, one of the largest coal producers in Indonesia, to a consortium of international banks and strategic investors led by T. P. Rachmat and Edwin Soeryadjaya. It was one of the largest and most complex M&A/LBO transactions in Indonesia and South East Asia. The transaction was recognized by Asian Legal Business in 2006 as the South East Asia M&A Deal of the Year. Baker McKenzie represented the minority shareholder and Milbank represented the purchaser.
  • Counsel to PT Adaro Indonesia, one of the largest coal producers in Indonesia, in the USD325 million issuance of minority shares to EGAT International Co Ltd, a subsidiary of the Electricity Generating Authority of Thailand, which was represented by Baker McKenzie.
  • Together with O’Melveny & Myers, Hendra Soenardi represented one of the largest palm oil plantation companies in Indonesia in USD350 million acquisition of a palm oil plantation in Sumatra.
  • Counsel to SHV Holdings BV and other shareholders in the sale of 100% interest in PT Makro Indonesia, one of the largest discount store chains in Indonesia, for EUR227 million to Lotte Shopping Co Ltd which was represented by Yulchon.
  • Counsel to PT Mitra Pinasthika Mustika in the acquisition of 100% interest in PT Mitra Pinasthika Mustika Finance (formerly PT Austindo Nusantara Jaya Rent), a holding company of automotive rental and finance business and the third largest automotive rental company in Indonesia, from PT Austindo Nusantara Jaya.
  • Counsel to PT Mitra Pinasthika Mustika as the issuer of approximately USD100 million Mandatorily Convertible Notes Due 2017.
  • Counsel to the controlling shareholder and the target company in the sale of the 23% interest in PT Avrist Assurance (formerly PT Asuransi AlA Indonesia) to DEG (German Investment & Development Company). The sale of the 23% interest to Meiji Yasuda Life Insurance was represented by Baker McKenzie.
  • Counsel to an Indonesian telecommunications company in the purchase of telecommunications assets from a listed Indonesian telecommunications company.
  • Together with Milbank, Hendra Soenardi represented the purchaser in a proposed acquisition of 25% interest in one of the largest independent power producers in Indonesia.
  • Counsel to Sumitomo Corporation as the controlling shareholder of two of the largest finance companies in Indonesia in a joint venture with Sumitomo Mitsui Banking Corporation and PT Sinar Mas Multiartha.
  • Together with Latham & Watkins, Hendra Soenardi represented an Indonesian purchaser in a large scale acquisition of an integrated coal mining business in Kalimantan.
  • Counsel to the arranger in a reverse takeover of an Indonesian shipping company by a Singapore company listed on the Singapore Stock Exchange.

Power & Infrastructure Sector

  • Counsel to PT Adaro Power as a sponsor in the development of 2 x 1,000 MW power plant in Central Java (using a Public Private Partnership scheme). This transaction was recognized as the Indonesia Deal of the Year by Asian Legal Business in 2016, the Project Finance Deal of the Year in Asia by International Financial Law Review and the Deal of the Year in Asia Pacific for Power by Project Finance and Infrastructure Journal in 2017.
  • Together with Milbank, Hendra Soenardi represented PT Tanjung Power Indonesia as the independent power producer and its sponsors in the development of 2 x 100 MW power plant in South Kalimantan.
  • Together with Milbank, Hendra Soenardi represented the purchaser in a proposed acquisition of 25% interest in one of the largest power producers in Indonesia.
  • Together with Skadden Arps, Hendra Soenardi represented the sponsors in the bidding for the development of 2 x 600 MW coal mine mouth power plant in Sumatra.

  • Counsel to the purchaser in an acquisition of coal mining companies, including legal due diligence of mining subsidiaries (IUP holder) located in East Kalimantan which would supply coal for a mine-mouth power project.
  • Advising an international coal trading company on the issue of Coal Contract of Work (PKP2B) in Indonesia.
  • Advising the sponsors in the preparation of a comprehensive list of licenses to be obtained by a coal mining company for a mine mouth power plant project.
  • Advising client on the issue of the status of assets utilized by a mining company holding a Coal Contract of Work (PKP2B).
  • Counsel to the purchaser in a proposed acquisition of a foreign investment company holding a Coal Contract of Work (PKP2B) in Kalimantan. We conducted due diligence where one of the key issues was the overlap between mining and forestry area.
  • Counsel to the purchaser in an acquisition of coal mining companies, including legal due diligence of mining subsidiaries (IUP holder) located in Muawa Wahau, East Kutai, East Kalimantan which would supply coal for a mine-mouth power project.
  • Counsel to the purchaser in a proposed acquisition of integrated mining business in East Kalimantan involving a legal due diligence which one of the target companies is a coal train operator.
  • Counsel to the purchaser in a proposed acquisition of a mining group companies owning an integrated mining business in East Kalimantan and Sumatra involving a legal due diligence on coal mining company, IUP Production Operation specifically for Transportation and Sales, coal hauling road operator, mining service provider, port operator, sea transportation / shipment companies, coal trading company.
  • Counsel to the purchaser in a proposed acquisition of a mining services company involving a legal due diligence.
  • Counsel to one of the largest coal companies in land overlap settlement with a plantation company in Kalimantan.
  • Counsel to the purchaser in an acquisition of coal mining companies, including legal due diligence of mining subsidiaries (IUP holder) located in East Kalimantan which would supply coal for a mine-mouth power project.

Plantation Sector 

  • Advising one of the largest plantation company groups in Indonesia on its material licensing and regulatory obligations as a preparation of a proposed sale of several plantation companies.
  • Advising shareholders in a proposed restructuring of the plantation companies.
  • Advising client on the issue of plantation area which overlaps with protected forest area and mining areas.
  • Advising client on the regulatory issues relating the limitation of allowed plantation area owned by a group of companies in Indonesia.
  • Advising client on the issue of Timber Utilization Permit (Izin Pemanfaatan Kayu).
  • Advising client on the impacts of Presidential Moratorium and Evaluation of Palm Oil Plantation Licenses and Improvement of Palm Oil Plantation Productivity towards existing plantation companies.
  • Advising client on the issue of TORA (Tanah Objek Reforma Agraria) in relation with relinquishment of forestry area for plantation companies. 

Land Related Sector

  • Advising and assisting an independent power producer (IPP) in arranging the appropriate land structure and arrangement where there will be 3 land titles at the same plot possessed by the IPP, local government, and another private company, where the arrangement can be accepted by all parties and the lenders for a project finance purpose. This includes the negotiation on cooperation agreement with the local government with respect to the utilization of regional-owned assets (Barang Milik Daerah).
  • Advising an IPP in land related matters in South Kalimantan, including in the splitting of Hak Guna Bangunan (HGB), in the negotiation with the local government in relation to the use of Hak Pengelolaan (HPL), and also in dealing with private entities to structure the right of way or use of area in their respective mining and HGB areas so that the land structure arrangement can be accepted by the IPP’s lenders. The settlement of these land matters helping the sponsors, PLN, and government to face one of the main obstacles in the development of the power plant project at that time.
  • Advising a company on the issues relating to the land auction procedure and conversion of land title.
  • Advising the sponsors in the preparation of a land procurement plan to be submitted to PLN for the purpose of the bidding including on the issues of location compatibility of project’s with the national, provincial, and regional spatial plan.
  • Advising clients on several overlapping licenses issues: plantation area, mining area, gas concession, and protected forest area.

  • Counsel to PT Adaro Power as a sponsor in USD4.2 billion Central Java power project financing.
  • Together with Milbank, Hendra Soenardi represented PT Tanjung Power Indonesia as the borrower in USD545 million South Kalimantan power project financing, and its subsequent series of refinancing.
  • Together with Milbank, Hendra Soenardi represented PT Adaro Indonesia as the borrower and PT Adaro Energy Tbk as the guarantor in USD1 billion facility from a group of international lenders.
  • Together with Milbank, Hendra Soenardi represented PT Saptaindra Sejati as the borrower in USD200 million facility from a group of international lenders, and its subsequent series of refinancing which led up to USD1 billion.

  • At the request of Lipman Karas, Soenardi Pardi acted as an expert witness for the Republic of Indonesia in an application for asset recovery from a foreign jurisdiction.
  • Together with Holman Fenwick Willan, Hendra Soenardi acted as counsel to an Indonesian mining company in defense of a claim from a commodity purchaser filed to the London Court of International Arbitration.

  • Advising on a land ownership dispute relating to Eigendom Verponding (land title prior to the introduction of the Basic Agrarian Law).
  • Advising a property developer on land ownership dispute between a holder of HPL and a holder of HGB.
  • Advising one of the biggest property developers on a land ownership dispute relating to inheritance rights which affects the land sale and purchase agreement.
  • Advising a developer in a dispute relating to overlapping HGB and Girik land.
  • Advising one of the biggest property developers as a purchaser in a dispute relating to proposed sale and purchase of 180 hectares land area and a land dispute settlement for a 350 hectares land area.
  • Advising a coal mining company in Kalimantan in a land overlapping dispute with several plantation companies and license revocation issue.
  • Advising sponsors in presenting an analysis of legal issues on the on-going land dispute at the site where the proposed power plant will be constructed which becomes one of the main key pending issues for financial closure. This analysis and presentation to the lenders helping the sponsors in reaching the financial closure.
  • Counsel to a power producer in Central Java in a defense before the Indonesian administrative court in relation to land clearance and spatial law dispute. The winning of this case helping the sponsors, PLN, and government to face one of the main obstacles in the development of the power plant project.

  • Hendra was part of the Latham & Watkins team which represented Holcim Ltd in its acquisition of a controlling interest and the restructuring of US$1.2 billion debt of a listed Indonesian cement company, PT Semen Cibinong Tbk. Gabriel joined Hendra Soenardi in 2019. He began his legal practice at the largest litigation firm in Indonesia. He has represented corporations and individuals in complex commercial disputes and also advises on corporate matters.

He was an awardee in the Phillip C. Jessup International Law Moot Court Competition and is active in multiple organizations. He served as Alumni Director for Conference of Australian and Indonesian Youth (CAUSINDY), member of the organizing committee of Perhimpunan Advokat Indonesia (PERADI) Central Jakarta Branch and the Country Captain for Cornell International Lawyers Network (CILAN). Aside from working as a lawyer, from time to time he also coaches several universities to compete in law moot court competitions.
